The escrow agreement is the only thing that gives the user group the
right to use the InStar system in case of a financial failure at InStar. We believe this is an unlikely event,
but, after all, we're all in the insurance business and our trade is unlikely events!
A hostile vendor COULD acquire the rights and then force users into a new system with a $20M-$40M downpayment and/or
double the current monthly cost. Since this benefit is exclusive to members of the National InStar User Group and we
have no intellectual property rights that extend to nonmembers, users that are not members would be left in the cold to
fend for themselves and could face devastating and disruptive choices immediately should an "unlikely event" occur.
